By accessing or using the Metrics That Matter platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

Metrics That Matter provides a unified analytics platform for e-commerce businesses. The Service integrates with third-party platforms (including Shopify, Meta Ads, Google Ads, TikTok Ads, and ShipStation) to aggregate, analyze, and visualize business data. The Service also includes AI-powered features such as Scout AI chat and automated analysis agents. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account and keep it up to date. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to: (a) use the Service in any way that violates applicable laws or regulations; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the Service or servers; (d) reverse engineer, decompile, or disassemble any part of the Service; (e) use the Service to compete directly with Metrics That Matter; (f) share your account credentials with unauthorized third parties; (g) use automated tools to scrape or extract data from the Service beyond what is provided through our API.

The Service and its original content, features, and functionality are owned by Metrics That Matter and are protected by international copyright, trademark, and other intellectual property laws. Our trademarks may not be used without our prior written consent. You retain ownership of any data you upload or connect to the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

The Service integrates with third-party platforms to access your data. By connecting a third-party platform, you authorize us to access and process data from that platform on your behalf, subject to our Privacy Policy. We are not responsible for the availability, accuracy, or content of third-party platforms. Your use of third-party platforms is subject to their respective terms of service. We may add, modify, or remove integrations at any time.

Paid plans are billed in advance on a monthly or annual basis. Prices are subject to change with 30 days' notice. All fees are non-refundable except as required by law. Free trials are available and do not require a credit card. If you fail to make timely payment, we may suspend or terminate your access to the Service. Taxes may be added to the stated prices where required by law.

To the maximum extent permitted by law, Metrics That Matter shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the twelve months preceding the claim. The Service is provided "as is" without warranties of any kind, either express or implied.

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time through the platform settings. Data retention after termination is governed by our Privacy Policy. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, and limitation of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware. You agree to submit to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
